摘要：文章探讨了知识并购中如何选择并购目标的问题。知识并购的真正目标是目标组织的嵌入知识。首先，分析了嵌入知识的心理机制和基本特征。其次，从嵌入知识转移和整合的角度分析了影响并购目标选择的因素，并得出了八个有助于组织并购决策的推论。

Abstract: How to select the target for knowledge merger and acquisition is elaborately analyzed. The real goal of the knowledge merger and acquisition is to obtain the embedded knowledge of the organization. First of all, the psychological mechanisms and the basic characteristics of the embedded knowledge are analyzed. Secondly, the problem on how to select the target for the knowledge merger and acquisition from the two aspects of the transfer of the embedded knowledge and the integration of the embedded knowledge is analyzed, and eight inferences are obtained to help out organization managers in decision-making.
