本文从企业知识转移的角度分析了技术并购后的整合问题。讨论了技术知识特性对知识转移的影响,文章提出技术并购后整合的本质是技术知识的转移,而技术知识转移的关键是建立知识转移的情境,并从战略、组织、文化三个维度分析了知识转移情境的建设。最后,以思科为例对技术知识转移理论作了案例分析。本文对技术并购后整合中知识转移的分析弥补了现有对并购整合和知识转移应用研究的不足。

This paper analyzes the technology-based M&A integration from the aspect of technology knowledge transfer. It discusses the influences of the technology knowledge characteristics on the knowledge transfer. Then it proposes the essence of post merger integration is the transfer of knowledge. At last, the authors propose how to construct the firm context of technology knowledge transfer. The authors argue that there are three contextual dimensions, which are strategy, organization and culture.
